  3. SELLER ESCROW AGENT SHALL ENDORSE THE ESCROW AGREEMENT AND SHALL CIRCULATE THE COMPLETED ESCROW AGREEMENT TO THE SELLER , BUYER  AND BUYER ESCROW.

  4. UPON EXECUTION OF THE PURCHASE AGREEMENT AND THE ESCROW AGREEMENT, BUYER AND BUYER ESCROW WITHIN 3 BANKING DAYS SHALL WIRE TO SELLER ESCROW AGENT THE CONTRACTED PURCHASE AMOUNT TO BE APPLIED TO THE PURCHASE OF THE CONTRACTED BTC (“INITIAL DEPOSIT” 1000BTC).

  5. SELLER ESCROW AGENT SHALL INFORM BUYER, BUYER ESCROW AND SELLER RECEIPT OF THE INITIAL FIRST TRANCHE FUND DEPOSIT.

  6. SELLER SHALL INITIATE PLACEMENT TRANSFER OF THE FIRST TRANCHE OF THE 1000BTC DIRECTLY INTO BUYER WALLET OR ITS NOMINATED WALLET ADDRESS AND SEND THE SCREENSHOT TO BUYER AND SELLER ATTORNEY.  BUYER SHALL NOTIFY ALL PARTIES THE RECEIPT OF THE BTC.

  7. SELLER ESCROW AGENT WILL THEN DISBURSE CASH TO SELLER’S ACCOUNT.

  8. IN THE EVENT THAT SELLER IS UNABLE TO SEND BTC TO BUYERS WALLET WITHIN 2 BANKING DAYS OF INITIALIZING THE ESCROW PROCESS  /CONFIRMATION OF FUND THE ESCROW AGENT  RESERVE THE RIGHT TO RETURN THE FUNDS TO THE BUYERS SENDING ACCOUNT.

  9. BUYER AND BUYER ESCROW SHALL BE RESPONSIBLE FOR THE COIN VERIFICATION AND VALIDATION. 

  10. AFTER SIGNING THE AGREEMENT ANY PARTY THAT FAILS TO PERFORM THE AGREEMENT SHALL PAY PENALTY OF ONE MILLION FIVE HUNDRED THOUSAND DOLLARS.

  • 8. Buyer signs and returns the escrow agreement to the escrow attorney to fully  endorse the escrow agreement and returns the fully signed copies of the escrow agreement to both party's buyer and seller on the same email thread and subject already created.

  • 9. Seller issues an invoice for the first tranche with an average set market price of the transaction day to the buyer on the same email thread and subject already created. (NB: The set price si only Valid for 24 hour

  • 10. Buyer approves, sign and return the invoice on the same email thread and subject already created.

  • 11. Seler instructs the escrow attorney ot issue a USDT wallet address to the buyer to pay the invoice for the first tranche according to the SPA agreement on the same email thread and subject already created.

  • 12. Buyer transfers the USDT from their USDT wallet inputted on the signed SPA to the escrow attorney USDT wallet as per the invoice and provides the transaction hash on the same email thread and subject already created for the escrow attorney and seller confirmation on the Etherscan.

  • 13. Upon confirmation of the receipt of the USDT to the escrow attorney wallet by the seller and the escrow attorney, seller transfers the BTC to the buyer wallet inputted on the signed SPA and provides the transaction hash on the same email thread and subject already created for the escrow attorney and buyer confirmation on the explorer.

  • 14. Upon confirmation of the receipt of the BTC to the buyer wallet by the buyer and the escrow attorney, the escrow attorney transfers the USDT to the seller wallet as inputed on the signed SPA minus the 3% for the mandates commission and transfers the commission to the mandate's walet involved in the transaction according to the Anex Con the signed SPA.

  • 15. We repeat from stage 9-14 of the procedure until the tranches are completed as per the signed SPA.

  6. Upon execution of the Purchase Agreement and the Escrow Agreement, Buyer shall wire to Escrow Agent the sum to be applied to the purchase of the first tranche of 1,000 BTC (“Initial Deposit”).

  7. Escrow Agent shall inform both Buyer and Seller receipt of the Initial Deposit.

  8. Seller shall initiate placement of the first tranche of the BTC directly into the Buyer’s wallet. Buyer shall provide its BTC wallet information upon execution of the Purchase Agreement.

  9. Seller shall provide evidence of said deposit of BTC after receipt of confirmation of the Buyer’s funds.

  10. Thereafter, Buyer shall confirm receipt of the evidence of the deposit in its wallet.

  11. Upon receipt of the Initial Deposit, Buyer and Seller direct Escrow Agent to disburse the Initial Deposit to Seller of a discount of 6% Net. Upon receipt of receiving funds from the Escrow Agent, Seller pays a commission in BTC – 1% Escrow Office, 2% BANK OFFICERS, 1% Seller side and 1% Buyer side according to the listed representatives in the IMFPA in “Annex C” in this agreement. Seller shall disburse such commission in BTC within 24 hours upon receipt of receiving funds from the Escrow Agent.

  12. Upon deposit of entire first tranche with Buyer as evidenced by Seller, Escrow Agent shall disburse the remainder of the Initial Deposit less payments for commissions and payments due to Escrow Agent. All payments shall be made via wire transfer or BTC. Escrow Agent shall disburse funds within 24 hours of the transaction being consummated and after both Seller and Buyer verify same in writing.

  13. For additional tranches steps 6 – 12 in this transaction procedure will be repeated until the total volume is settled with rolls and extensions.

  • PROCEDURE:

  1. The Buyer submits USDT private Wallet with under 100 transactions and with at least $50,000,000.00 USDT to purchase X00 BTC for approval and once approved the Buyer sends a test tranche of $XXX USDT to receiving wallet showing the requirements to purchase the BTC. (MUST COME FROM APPROVED TRANSACTION WALLET OR TERMINATION OF CONRACT)

  2. Upon verification of the USDT, the Seller shall remit payment by BTC for the amounts received by ERC20 to the Buyer’s receiving Wallet that will allow the Buyer to see the amount of BTC in the Seller’s Wallet.

  3. The price of the BTC for all tranches shall be measured as follows: (a) the United States dollar index price per Bitcoin set forth at https://www.blockchain.com/prices/BTC at the time of the of the receipt of the BTC into the designated Escrow BTC Wallet minus (b) the applicable discount set forth herein.

  4. Within One (1) hour of the Parties executing the handshake the Buyer will fund the Escrow Account with at least $XX,000,000.00 USDT. The Buyer must fund the Escrow Account with sufficient USDT prior to commencement of each successive tranche, which may be verified by confirming the USDT on the blockchain. (See Tranche Schedule).

  5. Escrow Agent shall deliver a Letter of Attestation (LOA) to the BTC Seller confirming that Buyer has funded Escrow with at least $XX,000,000.00 in $USDT. The Seller may contact the Escrow Agent to verify and authenticate the LOA.

  6. Within Two (2) hours of BTC Seller receiving the LOA the BTC Seller shall deliver the required tranche of BTC to the designated Escrow Wallet and shall deliver the HASH and Screenshot of said delivery evidencing such.

  7. Upon the sixth (6) blockchain confirmation of said BTC being received into the designated Escrow BTC Wallet, the Escrow Agent shall email notice to all Parties confirming that the Escrow has been funded with the BTC from the Seller.

  8. The Buyer shall have up to one (1) hour to perform its forensics and review and approve the BTC.  Upon Buyer’s approval of the BTC tranche, or if the Buyer fails to send notice of rejection, within 1 hour of the receipt by the Escrow Agent and said receipt of the BTC by the Escrow Agent is confirmed by irrefutable evidence of successful delivery via the hash records listed on Blockchain, the BTC shall be deemed accepted and approved by the Buyer.

  9. Should USDT Buyer reject the BTC as invalid or fraudulent or reject the tranche Wallet as failing the conditions set forth herein, the Buyer shall send notice of such rejection to the Parties and the Escrow Agent within the hour. Upon such rejection, the Escrow Agent shall return the rejected BTC to the BTC Seller accordingly and the BTC Seller will deliver alternative BTC for forensics approval. If the alternative BTC is rejected, the transaction shall be considered terminated.

  10. Upon Buyer’s approval, the Escrow Agent shall initiate the release and disbursement of the Buyer’s escrowed purchase funds to the Seller, less the applicable discounts payable to the Consultants and the net discount to the Buyer, to complete the purchase of said BTC. The Escrow Agent shall promptly initiate the release and disbursement of the Seller’s escrowed BTC to the Buyer/USDT and to the Consultants. The Escrow Agent shall release and disburse consulting fees as follows: (a) 1% to Sell-Side consultants and (b) 1% to Buy-Side consultants as more fully described in the relevant IMFPA or fee agreement. The payment for the Consultants as referenced in the IMFPA under Transaction Code : XXXX

  11. The Parties shall Steps 2 to 10 repeated until the total quantity of BTC in the contract is exchanged for USDT ERC20.
