  • The escrow just acts as a guarantee for the seller in case the USDT does not show up.

  • So the steps would be

  • 1) Paperwork signed, etc

  • 2) BUYER MOVES FIRST -- $5M - $10M  into escrow

  • 3) Seller sends $5M - $10M of BTC to Buyer's wallet

  • 4) Buyer sends $5M - $10M of USDT to Seller's wallet

  • 5) Repeat steps 3 & 4 up to 20 or more times per day

  • Escrow is NOT involved in the transactions.  Again, it's just a guarantee for the seller and eliminates the "who moves first" in coin-to-coin transactions.

  • Please note that the buyer is not interested in using a custodian wallet.  They would prefer to have the fiat sit in a US escrow IOLTA account which is insured and regulated.  If, for whatever reason, the BTC does not arrive, they can get their funds back.  If, for whatever reason, USDT is not received by seller after sending BTC, the seller is paid in full by the fiat in escrow.  This eliminates the risk of who moves coins first in a wallet to wallet transaction.

  • Total coins needed -- Buyer can contract for almost any amount, but they are looking to transact 1000 - 2500+ BTC per day, every day, until the seller is out of BTC.

  • Tranche size -- equal to whatever is put in escrow -- in this case $5M or $10M.  Seller would send $5M or $10M in BTC.  Looking to do 20+ tranches per day

  • Currency to be exchanged -- stable coin, specifically USDT (any type) or USDC

  • PROCEDURES would therefore be (after paperwork and test tranches) :

  • 1) Funds move to escrow.

  • 2) Buyer provide seller with buyer's nominated wallet details to receive his BTCs.

  • 3) Seller sends BTC equal to the amount of USD in escrow at market price.

  • 4) Buyer sends USDT back to seller's nominated wallet at send price in #3 

  • 5) Steps 3 & 4 repeat 20x per day.

  • Seller sends a draft SPA. Within 24 hours, buyer will fill out with buyer´s required details, SIGN and return the SPA to the seller with the attached RWA (official Ready, Willing and Able Letter) signed by two bank officers. Within 24 hours, seller will fill out all required details, SIGN and send back the SIGNED SPA on a PDF format.

  • Proof of funds (POF): 

  • The Bank of the buyer issues SWIFT MT199 POF to the bank of seller and seller´s bank officer confirms the receipt of the SWIFT MT199 POF.

  • Proof of coins (POC): 

  • The seller will show the readiness to proceed for the first tranche by sending a Satoshi test from his wallet to buyer´s wallet. Seller to push Satoshi from exchange wallet if POF has low balance, or private wallet if POF has large balance. The buyer checks the legitimacy of the seller’s wallet.

  • The Buyer’s Bank sends Swift MT799 pre-advice (see Annex C) which will mention: Ready, willing, and able; to issue Swift MT103/72 conditional payment.

  • Seller´s bank officer must reply thru Swift to buyer’s bank confirming the successful receipt of the Swift MT799 pre-advice.

  • Buyer’s bank makes conditional payment by Swift MT103/72 locked for 365 days with Face Value worth 100,000 Bitcoins (BTC).

  • After receiving and confirmation of the MT103/72 Swift notification at seller‘s bank, the seller transfers Bitcoins to the buyer’s wallets for the current tranche according to the tranche schedule in “Annex A” through BLOCKCHAIN at the rate of the day -4% net discount, concurrently with the consultant fees as per Annex D IMFPA IC- 015-BTC-2021.

  • After the buyer received the BTC in his designated wallets and after the Six (6) confirmations of blockchain, the Swift MT103/72 stays as collateral and the current tranche will be paid by Swift MT103.

  • The commission must be paid by seller to the agents in BTC or Fiat concurrently with each tranche (7) in “Annex D”, which is included in this agreement.

  • 1. Buyer will wire the Tranche amount in USD to his escrow account at "TBA"_ Bank.," Attorney at Laws escrow account, hereafter referred to as "Buyer's Escrow".

  • 2. "Buyer's Escrow" confirms receipt and deposit with written notification to Buyer and Seller receipt of funds held in escrow account.

  • 3. Seller will transfer the Tranch Number of Bitcoins to his Designated Escrow Lobaso LDA, Wallet ID for the First Tranche of 1,000 BTC with wallet ID ( TBA).

  • 4. Lobaso LDA Seller's Escrow will confirm to Buyer receipt of the Bitcoins in the Designated Wallet.

  • 5. "Buyer" will transfer from His Escrow Account to seller Escrow Account. If seller fails to transfer the Tranche Amount of Bitcoins to Buyer Wallet withing 3 banking days of receipt of funds in the Buyer's Escrow account, then the funds will be returned to the Buyer.

  • 6. Repeat Steps 1-5 until contract is complete for all tranches to complete total trade of Bitcoins.


No requirement of Proof of Funds from Buyer because funds are sent to the Escrow Agent
