  • ESCROW  PROCEDURE – VIA ( LAW OFFFICES OF MICHAEL J RUBIN )

  • USD to BTC PROCEDURES:

ā€‹

  1. BUYER SIGNS THIS AGREEMENT AND TRANSFERS THE AMOUNT FOR THE INITIAL TRANCHE TO THE USD ESCROW ACCOUNT OF THE ESCROW ATTORNEY.  ESCROW ATTORNEY PROVIDES ATTESTATION OF BALANCE IN HIS USD ESCROW ACCOUNT TO THE SELLER TO BEGIN THE TRANSFER OF BTC. 

  2. SELLER THEN COUNTERSIGNS AGREEMENT.  SELLER THEN TRANSFERS THE AMOUNTOF BTC FOR THE INITIAL TRANCHE TO THE BTC ESCROW ACCOUNT OF THE ESCROW ATTORNEY.

  3. UPON CONFIRMATION OF BTC TRANSFER (6 VERIFICATIONS ON THE BLOCKCHAIN), ESCROW ATTORNEY WILL TRIGGER SETTLEMENT BY INFORMING BOTH PARTIES THAT THE ASSETS ARE IN PLACE AND THEY ARE READY TO TRANSACT.  THE SETTLEMENT CAN BE IN REAL TIME UPON BLOCKCHAIN VERIFICATION and A/M/L COMPLIANCE VALIDATION, OR IF BTC TRANSFER OCCURS AFTER HOURS, THE SETTLEMENT WILL OCCUR AT 10-11AM EASTERN US TIME. (AFTER BANKS OPEN) 

  4. AS PART OF THE SETTLEMENT, USD FUNDS WILL IMMEDIATELY BE TRANSFERRED TOTHE SELLER BANK COORDINATES, AND BTC WILL BE TRANSFERRED TO THE BUYER’S DESIGNATED WALLET.  USD FUNDS WILL BE SENT EITHER AS A US FED WIRE TO A US DESTINATION OR A GPI SWIFT TRANSACTION (FOR SPEED) TO AN INTERNATIONAL BANK DESTINATION. 

  5. ESCROW ATTORNEY (AS PAYMASTER)  WILL THEN PAY ALL BROKERS/INTERMEDIARIESAS STATED IN I.M.F.P.A. WITH DISCOUNT PROVIDED BY THE SELLER IN BTC/FIAT. 

  6. UPON COMPLETION OF THIS SETTLEMENT, THE PARTIES WILL RELPENISH THERESPECTIVE ESCROW ACCOUNTS OF THE ESCROW ATTORNEY AND PREPARE FOR THE NEXT TRANCHE AS DEFINED IN THIS AGREEMENT.  

  7. TRANCHES WILL CONTINUE USING THE ABOVE PROCEDURES UNTIL THE CONTRACT(OR ASSOCIATED R&E TRANCHES) ARE EXHAUSTED.

  • USDT to BTC PROCEDURES: 

ā€‹

  1. Buyer and Seller shall sign the Purchase Agreement.

  2. Buyer shall show proof of funds for the first tranche via an active recent bank accountstatement of United States Dollars in cash via screen or email. Seller shall show a screen shot to the buyer via screen or email one of his/her wallets showing available BTC for the tranche. 

  3. Buyer and Seller shall sign the Escrow Agreement, appointing the Law Office of (AttorneyName) to act as Escrow, the Settlement and Transaction Manager for this transaction. 

  4. Buyer and Seller Escrow Agent shall endorse the Escrow Agreement and shall circulate thecompleted Escrow Agreement to the Seller and buyer. 

  5. On the signing of this Agreement by both Parties, they agree to and are contractuallyobligated to follow and adhere to the terms and conditions of this Agreement and the procedures set forth below: 

  6. The Escrow Agent will facilitate the transfer of BUYER funds into the Escrow accountrepresenting the next anticipated tranche as defined in this agreement. (Starting with the test tranche above.)  As part of this agreement, both BUYER and SELLER agree that the funds transferred will remain in Escrow for 4 (four) hours. (The funds will be returned to the BUYER’S account if the tranche is not completed in this time frame.) 

  • 6b. The Escrow Agent will then confirm with the seller that the USD deposit has been made into escrow. The SELLER will then transfer the bitcoin reflecting the expected tranche into the escrow account using the designated wallet linked to the Escrow Agent.  

  • 6c. The Escrow Agent will confirm the Market Price with the BUYER and SELLER (as defined above, minus 6%) for the daily Tranche Phase via WhatsApp or the designated representatives that the exchange is ready to be executed. This confirmation will include the total amount of USDT paid for the purchase. 

  • 6d. Upon the Parties’ approval in (b) above, Escrow Agent will convert the USD to USDT for the SELLER and then transfer the total amount of USDT to the SELLER in his designated USDT wallet.  Escrow Agent will also transfer the Escrowed BTC to the BUYER in his designated BTC wallet. (i.e. the “Settlement”) 

  • 6e. Escrow Agent will notify both SELLER and BUYER that the Tranche is complete and to prepare for the next Tranche. 

  • 6f. If either side fails to effectuate the delivery of assets to the escrow wallets within four hours as provided, the entire transaction is canceled, and this contract is rendered null and void. Any assets held in Escrow will be returned to the respective owner.

  • 7. The transaction will be repeated for every Tranche Phase until the contract is completed
