  3. Seller makes a test transfer of Min $ 1000.00 equivalent BTC from a fresh / new storage wallet contaning not less than 1,200 BTC (with Max 10 transactions) to buyer’s designated wallet.

  4. Buyer pays for the first tranche via USDT to seller’s designated wallet address.

    Note: Before any payment buyer must notify seller (at least one hour before payment) via email and obtain approval via email.

  5. Seller confirms the receipt of the USDT (ERC20) and credits the coins to buyer’s designated wallet. 

  6. Seller pays all commissions and discount by BTC/USDT or FIAT into the  Paymaster IOLTA account/wallet address as applicable & other parties nominated wallet addresses. 

  7. Next tranches will continue as per steps 4&5 until contract exhausted.

  • 1.12. BUYER and SELLER shall sign this PURCHASE AND SALE AGREEMENT.

  • 1.13. ESCROW AGENT shall exchange funds on account declaration and alert BUYER that he has BTC Wallet and ALL CODES in hand immediately upon receipt thereof.

  • 1.14. BUYER hereby gives the official mandate to the LAW FIRM / COMPANY / TRUSTEE hereinafter referred to as “ESCROW AGENT” regarding this transaction. In case this mandate is provided separately via alternate communication, a copy of such mandate shall be attached to this agreement. ESCROW ATTORNEY signs the present agreement and assumes full escrow responsibility to the SELLER regarding the 100% payment of the funds for the BTC for each tranche agreed in this docu- ment.

  • 1.15. SELLER shall establish a separate Wallet with the entire amount of each individual tranche according to ANNEX A

  • 1.16. SELLER shall give a personal guarantee letter to the BUYER that he will be responsible for the whole process until BTC is delivered to BUYER.

  • 1.17. Subsequently for ALL further tranches after the initial 10,000 BTC first tranche:

  • SELLER will within 10 (ten) minutes prior to each fixing time, deposit the BTC cold Wallet for the scheduled tranche (with passcodes and keys into the ESCROW ATTORNEY WALLET to verify the coin) into ATTORNEY ESCROW ACCOUNT. SELLER shall provide evidence of said deposit of BITCOINS.

  • The parties sign this sales contract (SPA) in advance by email. In addition, each individual contract page is initially confirmed with the abbreviation so that no changes can be made later by third parties.   Copies will be exchanged via email. * In addition, the identity card is attached by all involved.

  • The BUYER will initiate funding the ATTORNEY ESCROW ACCOUNT first thing each day at approximately the open of banking hours for the FULL amount of the daily tranche schedule; then immediately upon verifying SELLER’S BTC cold Wal- let, the ESCROW ATTORNEY will verify to the SELLER that BUYER’S Funds for that Tranche are in the ESCROW ATTORNEY ACCOUNT ready to transact for that tranche.

  • The ESCROW ATTORNEY will confirm to the SELLER that the BUYER has depos- ited sufficient clean clear funds suiting each tranche, and that the ESCROW AT- TORNEY and bank is prepared to make payment for settlement less commissions to the SELLER by means of a wire or Ledger to Ledger.

  • 1.18. SELLER shall initiate placement of the first tranche of the BTC cold Wallet directly to the ESCROW ATTORNEY WALLET. The BUYER has to pay both inter- mediaries commissions according to the IMFPA (Annex F). SELLER shall provide the individual BTC Wallet information (including passcodes and access data) for each tranche to execute this PURCHASE Agreement.

  • 1.19. BUYER will change password and access data, etc. to take over the individual tranche cold Wallet.

  • 1.20. SELLER shall provide evidence of confirmation of the BUYER’S FUNDS.

  • 1.21. Steps 1.17.to 1.20. shall be repeated for subsequent tranches until all is completed.

​

  • 1. BUYER fills in the contract details and initials each page to validate the contract procedures are acceptable. (Amendments can be RED LINED in the agreement)  BUYER or the authorized BUYER Representative and SELLER or the authorized SELLER Representative communicate on the execution of the transaction

  • 2. SELLER completes the contract details and initial each page & BUYER and SELLER shall execute the purchase agreement.

  • 3. Upon receipt of executed purchase agreement, the SELLER shall show proof of life for the entire amount of bitcoin within the transaction (550,000) via screen shot, or email along with wallet address and identification.

  • 4. The BUYER shall show proof of funds for the complete transaction amount (550,000 Bitcoin) via an active recent bank account statement of (Euros) to SELLERS bank via MT199.  AFTER confirmation of Seller’s bank about reception of MT199 and capability to receive the founds. (This Proof of Funds and Proof of bitcoin shall be done simultaneously via Trust Officer at Bank of Montreal.)   Buyer will transfers the  funds to  seller bank by 103/202  of the amount for the agreed tranche show in the Proof of life “coin” in the sellers wallet.

  • 5. Seller shall conduct (wallet A to wallet B test with a (Satoshi) for the amount requested by the BUYER or with the entire amount requested for the first tranche. Bank shall do simultaneous swap of bitcoin for payment via Bank Trust Officer.

  • 6. SELLER shall then, after receipt of Ledger-to-Ledger payment, initiate placement of the first tranche of the (BTC) directly into the BUYER’s wallet, as well as COMMISSIONS according to the IMFPA to consultants. Buyer shall provide its (BTC) wallet information upon execution of the purchase agreement.

  • 7. SELLER shall provide evidence of said deposit of (BTC) after receipt of confirmation of the BUYER’s funds. SELLER shall also supply evidence of said deposit to intermediaries nominated bank account. Intermediary fees shall be distributed to the nominated IOLTA account attached as Exhibit “A”.

  • 8. Thereafter, BUYER shall confirm receipt of the evidence of the deposit in its wallet after six confirmations on the Blockchain.

  • 9. Steps 5-9 shall be repeated for subsequent tranches.

  • 10. Buyer will fund seller’s bank once both parties have executed contract and Item 5 of 2.2.2 Transaction Procedure “MT103”: has been completed to the satisfaction of the buyer

  • 3.) Escrow Agreement Structure; Escrow Agreement shall only govern the protective covenants and security of Buyer and Seller against purchase contract non-performance as follows:

  • 3.1) - Buyer will register a Wallet under Escrow Agent name where Seller transfers the agreed- upon Bitcoins into the Escrow Agent Wallet and Buyer will wire transfer the equivalent amount in Fiat (US$) into Escrow Agent IOLTA Account.

  • 3.2.) Non- Performance Security Deposit: Buyer and Seller decide amount of non- performance min 5% for up to 100% of agreed upon tranche value to be delivered in Escrow care Seller( in Bitcoins Equivalency) vs Buyer( Fiat Equivalency) as follows:

  • 4- Purchase Contract Structure

  • 4-1 Buyer register with Citibank and set up a transactional holding Account under Buyer group Citibank Server linked online banking portal under Seller name registered as the Acct Beneficiary for Buyer Pre- Payment/ pre-purchase of tranche BTC.

  • 4.2- Buyer and Seller determine tranche closing hour and lock the price and have the seller issue the tranche invoice.

  • 4.3- Buyer prepay/load into above Seller Citibank holding Account the first tranche Fiat.

  • 4.4- Seller sends the first tranche BTC Delivery after Blockchain confirmation, Seller has earned the BTC delivery in Fiat as per invoice.

  • 4.5- Commissions are paid in accordance with Contract IMFPA agreement

  • 4.6- Seller is free from the Transaction Account under his name and control from online banking access transfer funds via MT103 all or parts of his tranche money earned as he wishes to anywhere in the world 24 hours a day!

  • 4.7- Steps 4.2 through 4.6 are repeated for all tranches until the end!

  • 4.8- Non-Performance Security Deposit Release Provision: Upon Buyer and Seller full satisfactory performance under the Contract, both Seller and Buyer shall sign a " Release Order" instructing the Escrow Agent to return the non-performance guarantee Fiat back to the Buyer and the Bitcoins to the Seller. Or alternatively, Buyer and Seller can decide to instruct the escrow agent to transfer the equivalent value of Fiat in BTC Buyer Wallet in exchange for the Buyer Fiat and any excess BTC or Fiat over and above the exchange shall be returned to the respective party.
