  • ​PROCEDURE:

  • 1.12. BUYER and SELLER shall sign this PURCHASE AND SALE AGREEMENT.

  • 1.13. ESCROW AGENT shall exchange funds on account declaration and alert BUYER that he has BTC Wallet and ALL CODES in hand immediately upon receipt thereof.

  • 1.14. BUYER hereby gives the official mandate to the LAW FIRM / COMPANY / TRUSTEE hereinafter referred to as “ESCROW AGENT” regarding this transaction. In case this mandate is provided separately via alternate communication, a copy of such mandate shall be attached to this agreement. ESCROW ATTORNEY signs the present agreement and assumes full escrow responsibility to the SELLER regarding the 100% payment of the funds for the BTC for each tranche agreed in this docu- ment.

  • 1.15. SELLER shall establish a separate Wallet with the entire amount of each individual tranche according to ANNEX A

  • 1.16. SELLER shall give a personal guarantee letter to the BUYER that he will be responsible for the whole process until BTC is delivered to BUYER.

  • 1.17. Subsequently for ALL further tranches after the initial 10,000 BTC first tranche:

  • SELLER will within 10 (ten) minutes prior to each fixing time, deposit the BTC cold Wallet for the scheduled tranche (with passcodes and keys into the ESCROW ATTORNEY WALLET to verify the coin) into ATTORNEY ESCROW ACCOUNT. SELLER shall provide evidence of said deposit of BITCOINS.

  • The parties sign this sales contract (SPA) in advance by email. In addition, each individual contract page is initially confirmed with the abbreviation so that no changes can be made later by third parties.   Copies will be exchanged via email. * In addition, the identity card is attached by all involved.

  • The BUYER will initiate funding the ATTORNEY ESCROW ACCOUNT first thing each day at approximately the open of banking hours for the FULL amount of the daily tranche schedule; then immediately upon verifying SELLER’S BTC cold Wal- let, the ESCROW ATTORNEY will verify to the SELLER that BUYER’S Funds for that Tranche are in the ESCROW ATTORNEY ACCOUNT ready to transact for that tranche.

  • The ESCROW ATTORNEY will confirm to the SELLER that the BUYER has depos- ited sufficient clean clear funds suiting each tranche, and that the ESCROW AT- TORNEY and bank is prepared to make payment for settlement less commissions to the SELLER by means of a wire or Ledger to Ledger.

  • 1.18. SELLER shall initiate placement of the first tranche of the BTC cold Wallet directly to the ESCROW ATTORNEY WALLET. The BUYER has to pay both inter- mediaries commissions according to the IMFPA (Annex F). SELLER shall provide the individual BTC Wallet information (including passcodes and access data) for each tranche to execute this PURCHASE Agreement.

  • 1.19. BUYER will change password and access data, etc. to take over the individual tranche cold Wallet.

  • 1.20. SELLER shall provide evidence of confirmation of the BUYER’S FUNDS.

  • 1.21. Steps 1.17.to 1.20. shall be repeated for subsequent tranches until all is completed.

  2. Proof of funds (POF) - Buyer’s bank issues SWIFT MT199 as POF to the Seller’s bank.

  3. Proof of coins (POC) - After Seller’s bank approves SWIFT MT199, Seller will perform Satoshi test. Seller will show readiness to proceed for the first tranche by sending a Satoshi test from his wallet to Buyer´s wallet. Seller’s source wallet must contain at least 1,000 BTC.

  4. Buyer’s bank makes conditional payment by Swift MT103/72 locked for 365 days with Face Value worth minimum 5,000 Bitcoins (BTC).

  5. After confirmation by Seller’s bank of the MT103/72 Swift notification, Seller transfers Bitcoins to the Buyer’s wallet(s) for the amount stated in the Swift MT103/72 through BLOCKCHAIN at the rate of the day -4 % NET discount. The transfer of the first tranche (Schedule in “Annex A”) BTC must be realized within 72 hours after confirmation of Swift notification. All following tranches will be released within 24 hours.

  6. After Buyer receives the BTC in his designated wallets and after  SIX (6) confirmations of the Blockchain: Please select and check one checkbox. Buyer can choose either: ☐ Bank immediately releases the conditional funds Swift MT103/72 to Seller's bank account for current tranche. ☐ The Swift MT103/72 stays as collateral and the current tranche will be paid by Swift MT103.

  7. The commission must be paid by Seller to the agents under the IMFPA ________ listed in “Annex D”, which is included in this agreement.

  8. Upon completion of the transaction, both parties sign the affidavit of successful settlement.

  • b) Wallet: Buyer´s receiving EMPTY wallet will be submitted privately to the Seller.

  • c) Proof of coins (POC): Seller will play the recorded proof of coins video (POC) with personalized code given by the buyer. (No Satoshi or A-B wallet test available).

  • Buyer´s Bank Officer will initiate an MT199 communication to Seller´s bank, informing the bank of the upcoming transfer with stated exact date of the transaction.

  • 4. Upon the confirmation of the Seller´s Bank Officer, Seller issues the invoice and Buyer pays the agreed amount of BTC using MT103 Cash Wire Transfer, or Telegraphic Transfer {TT}. Then provide the official bank slip to the seller.

  • 5. Upon the confirmation of the Seller´s designated bank of the confirmed cleared funds payment  by the Buyer to the Seller, the Seller will release the agreed amount of the BTC to the Buyer´s wallet, and then the Seller will send the screenshot to the Buyer as proof showing that the BTC has been sent.

  • 6. Buyer has to wait until the six {6} confirmation has been achieved and the Bitcoin {BTC} is finally sitting in Buyer´s receiving wallet. Buyer will make it known to the Seller by providing the screenshot of the confirmed complete transfer.

  • 7. Seller pays commission to all involved parties according to the annexed IMFPA-[Insert Code……], and move to the next tranche until contract is exhausted.

  5.  Upon confirmation by the Attorney that the BTC is his possession within 24hrs , the Buyer will Transfer the funds via TT WIRE transferred into USA ESCROW Attorney Paymaster account in USA  whereby seller Attorney must verify the funds ARE CLEAN AND CLEAR. E.g. [Annex A]. Note: Buyer must be able to submit his CIS for the seller before TT wire transfer to make the proper Invoice.

  6. After funds verification and confirmation the ESCROW Attorney LAWYER, will transfer funds to seller nominated Bank accounts, after then, Seller will authorize the escrow lawyer to send the agreed quantities of BTC equivalent to the amount of funds he received and confirmed by seller's Paymaster Account to Buyer’s wallet.  

  7.  Buyer shall confirm he received the BTC's with all necessary complete confirmations on the first transaction, then Seller shall then pay the mandates and intermediaries commissions by BTCS or cash transfer to there nominated bank accounts  according to this Agreement.  

  8.  For subsequent tranches, the procedures in No.5 & 6 shall be followed continuously until Seller completely delivers the whole BTC quantities agreed according to Buyers’ request.

  • 2. SELLER completes the contract details and initial each page & BUYER and SELLER shall execute the purchase agreement.

  • 3. Upon receipt of executed purchase agreement, the SELLER shall show proof of life for the entire amount of bitcoin within the transaction (550,000) via screen shot, or email along with wallet address and identification.

  • 4. The BUYER shall show proof of funds for the complete transaction amount (550,000 Bitcoin) via an active recent bank account statement of (Euros) to SELLERS bank via MT199.  AFTER confirmation of Seller’s bank about reception of MT199 and capability to receive the founds. (This Proof of Funds and Proof of bitcoin shall be done simultaneously via Trust Officer at Bank of Montreal.)   Buyer will transfers the  funds to  seller bank by 103/202  of the amount for the agreed tranche show in the Proof of life “coin” in the sellers wallet.

  • 5. Seller shall conduct (wallet A to wallet B test with a (Satoshi) for the amount requested by the BUYER or with the entire amount requested for the first tranche. Bank shall do simultaneous swap of bitcoin for payment via Bank Trust Officer.

  • 6. SELLER shall then, after receipt of Ledger-to-Ledger payment, initiate placement of the first tranche of the (BTC) directly into the BUYER’s wallet, as well as COMMISSIONS according to the IMFPA to consultants. Buyer shall provide its (BTC) wallet information upon execution of the purchase agreement.

  • 7. SELLER shall provide evidence of said deposit of (BTC) after receipt of confirmation of the BUYER’s funds. SELLER shall also supply evidence of said deposit to intermediaries nominated bank account. Intermediary fees shall be distributed to the nominated IOLTA account attached as Exhibit “A”.

  • 8. Thereafter, BUYER shall confirm receipt of the evidence of the deposit in its wallet after six confirmations on the Blockchain.

  • 9. Steps 5-9 shall be repeated for subsequent tranches.

  • 10. Buyer will fund seller’s bank once both parties have executed contract and Item 5 of 2.2.2 Transaction Procedure “MT103”: has been completed to the satisfaction of the buyer

  • A seller is selling 200K BTC with R&E @ -6% gross, -3% net

  • Buyer = 3% 

  • Sellerside = 1.5% (closed) 

  • Buyerside = 1.5% (open)

  • ​PROCEDURE:

  • Transfer of funds and transfer of BTC to be conducted either Face to face (F2F Europe Only) or via Zoom between the Seller and the Buyer.

  1. Seller sends a draft SPA. Within 24 hours, Buyer will fill out with buyer´s required details, SIGN and return the SPA to the seller. The seller shall duly fill, countersign and return SPA in PDF format. 

  2. The Buyer if requested by the Seller, shall provide Proof of Funds only for the first tranche in the currency required by the Seller and agreed as a transaction currency. The seller, if requested by the buyer, shall provide Proof of coin.

  3. Once the transaction has been established, a SEPA System transfer, or SWIFT MT103 TURBO payment will be sent. (F2F or Zoom)

  4. After verification, the Seller transfers the Bitcoins to the Buyer's wallet(s) for the amount indicated in the Swift Transfer at the net discount rate of the day. (F2F or Zoom)

  5. The Seller requests confirmation of the coordinates of the Wallet indicated in this agreement for the electronic transfer of the BTC.

  6. For security reasons the Seller will not be obliged to provide the Wallet Details until the first transaction is fully completed, and the funds have been verified by the Seller’s bank officer (bank officer confirms to the seller that the funds are in the system), and funds completely free of any kind of incomprehension.

  7. The Seller has the right to send the BTCs agreed upon by this agreement to the Buyer, also from various Wallet accounts, avoiding communicating the details of Wallet accounts in this agreement.

  8. After the Buyer has received the BTC in his designated wallet(s), and after the Six (6) Tomochain  confirmations, and after the Seller has received the EUR/USD for the transferred Bitcoins, the Seller pays the commissions according to the consultants listed in the IMFPA in "ANNEX D" of this agreement.

  9. The subsequent tranches are carried out according to the scheme of tranche “1”, (with clauses from point 3 and point 4 of the Transaction Procedure), until the overall volume of the contract is reached.

  10. Upon completion of the transaction, both parties sign the liquidation statement.

  • Buyer is a Trustee of banks and important Fashion Corporations.

  • Buyer = 8%

  • Buyerside = 6%

  • Sellerside = 6% 

  • First tranche = 1000 BTC

  • Subsequent tranches = 10K, 20K, 40K, 60K, 80K, 100K, 100K, 100K BTC until contract exhausted​

  • PROCEDURES:

  1. BUYER fills in the contract details and initials each page to validate the contract procedures are acceptable. (Amendments can be REDLINED in the agreement)

  2. BUYER or the authorized BUYER Representative and SELLER or the authorized SELLER Representative communicate on the execution of the transaction

  3. SELLER completes the contract details and initial each page.

  4. BUYER and SELLER shall execute the purchase agreement. 

  5. Upon receipt of executed purchase agreement, the SELLER shall show proof of life for the first tranche via screen shot, Zoom call, or email; and the BUYER shall show proof of funds for the first tranche via an active recent bank account statement of (USD/Euros) to SELLERS attorney via screen shot or email. After both sides acknowledges the proof ups, both sides will set a TTM at the BUYERS chosen ESCROW AGENT.

  6. BUYER hereby gives the SELLER or authorized SELLER Representative the BUYER LAW FIRM and LAWYER or TRUSTEE as “ESCROW AGENT” authorized by the BUYER for this transaction.  In case this BUYER LAW FIRM and LAWYER or TRUSTEE as “ESCROW AGENT” is given separately, a copy of such authorization for the LAW FIRM and LAWYER or TRUSTEE as “ESCROW AGENT” shall be attached to this agreement.  The ESCROW AGENT signs the present agreement and assumes full ESCROW responsibility to the SELLER regarding the payment of the funds for (BTC) for each tranche agreed in this document.  

  7. Seller shall conduct (wallet A to wallet B) test with a (Satoshi) for the amount requested by the BUYER or with the entire amount requested for the first tranche. 

  8. BUYER or the authorized BUYER Representative and SELLER or authorized SELLER Representative will agree on a date and location for the (TTM) meeting upon ESCROW AGENT’s formal invitation.   During the meeting the SELLER is available to show the (BTC) to the ESCROW AGENT and will transfer the first tranche of (BTC) to the BUYERS wallet blockchain, eventually on ledger, upon request of the ESCROW AGENT, who sustains its cost on behalf of the BUYER.

  9. At the (TTM) meeting, once the BUYER ESCROW AGENT confirms receipt of the (BTC) on the BUYERS wallet, and validates with 6 blockchain validations, the ESCROW AGENT will send via (MT103 / RTGS / Ledger to Ledger) the payment for the first tranche of (BTC) countervalue in (USD/Euro).

  10. SELLER BANKER shall inform both ESCROW AGENT and SELLER receipt of the initial deposit.

  11. SELLER shall initiate placement of the first tranche of the (BTC) directly into the BUYER’s wallet, as well as COMMISSIONS according to the IMFPA to consultants. Buyer shall provide its (BTC) wallet information upon execution of the purchase agreement.

  12. SELLER shall provide evidence of said deposit of (BTC) after receipt of confirmation of the BUYER’s funds.

  13. Thereafter, BUYER shall confirm receipt of the evidence of the deposit in its wallet after six confirmations on the Blockchain.

  14. Steps 5-9 shall be repeated for subsequent tranches.
