  • 4- Purchase Contract Structure

  • 4-1 Buyer register with Citibank and set up a transactional holding Account under Buyer group Citibank Server linked online banking portal under Seller name registered as the Acct Beneficiary for Buyer Pre- Payment/ pre-purchase of tranche BTC.

  • 4.2- Buyer and Seller determine tranche closing hour and lock the price and have the seller issue the tranche invoice.

  • 4.3- Buyer prepay/load into above Seller Citibank holding Account the first tranche Fiat.

  • 4.4- Seller sends the first tranche BTC Delivery after Blockchain confirmation, Seller has earned the BTC delivery in Fiat as per invoice.

  • 4.5- Commissions are paid in accordance with Contract IMFPA agreement

  • 4.6- Seller is free from the Transaction Account under his name and control from online banking access transfer funds via MT103 all or parts of his tranche money earned as he wishes to anywhere in the world 24 hours a day!

  • 4.7- Steps 4.2 through 4.6 are repeated for all tranches until the end!

  • 4.8- Non-Performance Security Deposit Release Provision: Upon Buyer and Seller full satisfactory performance under the Contract, both Seller and Buyer shall sign a " Release Order" instructing the Escrow Agent to return the non-performance guarantee Fiat back to the Buyer and the Bitcoins to the Seller. Or alternatively, Buyer and Seller can decide to instruct the escrow agent to transfer the equivalent value of Fiat in BTC Buyer Wallet in exchange for the Buyer Fiat and any excess BTC or Fiat over and above the exchange shall be returned to the respective party.

  • b.) The Escrow Agent will then initiate transfer the FIAT funds to the Seller’s Bank Account and send payment remittance advice to both the Buyer and Seller within 3 (three) hours of clause 6.9.1 above.

  • c.) The Escrow Agent will then confirm the tranche transaction is complete either via email or phone call to both the Buyer and Seller simultaneously with proof of FIAT fund transfer.

10. Points 6.9 to 6.9.3 will then be repeated until total agreement is fulfilled or extended by the Buyer and Seller.

Escrow Agent will confirm to the BUYER the receipt of the Bitcoins in the designated Wallet.   If the seller (SELLER) fails to transfer the amount of the Bitcoin tranche to the BUYER's wallet within 3 business days of receiving the funds in the buyer's escrow account, then the funds will be returned to the buyer. 

  • Step 5. Within 24 hours of receiving BTC in the designated wallet, Escrow Agent will transfer, net of 13% discount - the deposited funds from its escrow account to the Seller's escrow account. 

  • Step 6. Upon receipt of the Funds by the Seller, for each executed tranche, Escrow will - using the balance of the discount (less the buyer's net discount) and retaining 1% of its own commissions - pay the commissions as per IMFPA. 

  • Step 7. Repeat steps 1-6 until this contract is complete for all tranches to complete the total Bitcoin trade.

  • Proof of Funds from the Buyer because funds are sent to the Escrow Agent.  

  • Any party in this contract with Escrow Agent that defaults/ fails to perform on this contract within 10 Banking days of this agreement shall pay 2% penalty for non performance.

  4. Proof of coins (POC): Buyer is to select one of the below options: The seller will show the readiness to proceed for the first tranche by sending a Satoshi test from his wallet to buyer´s wallet.

  5. Buyer’s bank makes  payment LEDGER TO LEDGER HSBC UK, LONDON for the current tranche. Scheduled tranches (see Annex A).

  6. After receiving and confirmation of the  LEDGER TO LEDGER HSBC UK, LONDON notification at seller‘s bank, the seller transfers Bitcoins to the buyer’s wallets for the said amount stated in the LEDGER TO LEDGER HSBC UK, LONDON through BLOCKCHAIN at the rate of the day -4% net discount. The transfer of BTC must be realized within 24 hours after receipt of Swift notification. The commission must be paid by seller to the agents under the TM-756-BTC-2021-6””, which is included in this agreement.

  7. For additional tranches steps 4 – 6 will be repeated until the total volume is settled.

  8. Upon completion of the transaction, both parties sign the affidavit of successful settlement.

  5. Escrow Agent shall inform both the Buyer and the Seller of the receipt of the deposit of funds. 

  6. Seller will begin placing the first tranche of BTC directly into Buyer's wallet. The Buyer, through escrow agent, will provide the information of its BTC Wallet at the time of the execution of the Purchase Agreement. 

  7. Seller will provide proof of BTC placement after receiving confirmation of Buyer's funds. 

  8. Thereafter, the Buyer will confirm receipt of the tranche of BTC in its Wallet. 

  9. Upon receipt of the BTC tranche, Escrow Agent shall pay the consideration - price on www.bitcoin.com - to the Seller net of the 13% gross discount.  

  10. After sending the funds to the Seller, Escrow Agent shall pay the commission according to the representatives listed in the IMFPA to this Agreement. Seller shall pay such commission in BTC within 24 hours of receipt of funds from Escrow Agent. 

  11. After payment of the entire first tranche to Buyer and payment of the commission, items 7. through 10. shall be replicated.

  •  4. Upon the confirmation of the seller´s designated bank of the confirmed clear receipt of payment to the seller, the seller will release the agreed amount of the BTC to the buyer´s wallet, and then the seller will send the screenshot to the buyer as proof showing that the BTC has been sent.

  • Buyer has to wait until the six {6} confirmation has been achieved and the Bitcoin {BTC} is finally sitting in buyer´s receiving wallet. Buyer will make it known to the seller by providing the screenshot of the confirmed complete transfer.

  • 5. Buyer pays commission to buy side involved parties.

  • 2. The signed Contract is deposited with the respective Escrow Agents who sign it for acceptance and endorsement and provide copies to the Parties (Buyer, Seller, Buyer Mandate, Seller Mandate, Intermediaries Seller Side and Buyer Side). 

  • 3. Within 24 hours of ratification by the Escrow Agents, they exchange proof of funds for the first tranche: The Buyer via a recent active bank statement of US Dollars or Euros via screen or email; The Seller shall show a screenshot to the Buyer via screen or email one of his wallets showing the BTC available for the first tranche.
