  • PROCEDURE :

  • 1. Escrow attorney creates a new wallet (Atomic or Trust or Coinbase) on a zoom call for approval by the other party. Wallet must be decentralized/non-custodial/cold. No Exchanges and no custodial wallets accepted for a security reason.

  • 2. The escrow agent provides the buyer and seller with the wallet address, but the escrow attorney retains the passwords, as applicable.

  • 3. The buyer sends the first tranche of USDT to the escrow attorney’s new wallet.

  • i. Escrow attorney confirms receipt of USDT in his wallet and sends screenshots to the seller.

  • ii. The seller verifies a wallet via blockchain explorer online.

  • 4. Seller subsequently sends BTC to the escrow attorney's wallet.

  • i. Escrow attorney confirms receipt of BTC in his wallet and sends screenshots to the buyer.

  • ii. The buyer verifies a wallet via blockchain explorer online.

  • 6. The escrow Agent conducts forensics on USDT and BTC.

  • 7. The escrow Agent sends USDT to the seller.

  • 8. The escrow Agent sends BTC to the buyer.

  • 9. Escrow Agent shall pay the sales commissions as per the instructions outlined herein in Annex D. Steps c) to h) are repeated until 200,000 BTC transaction is complete.

  • The both escrow Agents conduct forensics on USDT and BTC.

  • The Buyer’s escrow Agent sends BTC to the buyer.

  • Seller shall pay the sales commissions as per the instructions outlined herein in Annex D.

  • -    Total Estimated Time to complete USDT to BTC transaction is less than 20 minutes.

  • -    Owners will repeat this process until contract completion.

  • -    Seller pays commissions after each tranche is concluded.

  • USDT Provider conducts forensics

  • On Satisfactory DD on USDT Provider , then BTC Provider will send BTC first for each Tranche  , which means BTC First Then USDT Next

  • 5. Buyer will advance USDT TRC-20 at estimated 6% discount for the 100 BTC first tranche

  • 7. Buyer will advance USDT at estimated 6% discount thereafter for each full tranche until BTC is exhausted

  5. BUYER DEMONSTRATES THE CAPACITY AND AVAILABILITY OF POF FOR THE TRANSACTION TO SELLER (SELLER PROFESSIONALLY RECOMMENDS THE RETURN USDT COME FROM THE WALLET THAT AT LEAST HAS ENOUGH TO COVER THE FIRST TRANCHE).

  6. Seller demonstrates POC via the wallet balance / WALLET ADDRESS LIVE ON ZOOM.

  7. SELLER SENDS TO BUYER A NOMINAL TRANSACTION AMOUNT ($50) TO BUYER / USDT PROVIDER’S WALLET.  BUYER / USDT PROVIDER IS EXPECTED TO SEND SCREENSHOT OF THEIR WALLET (MAIN WALLET) TO SHOW PROOF OF RECEIPT OF USDT SENT FROM SELLER / BTC PROVIDER AND OWNERSHIP ALONG WITH CONTROL OF WALLET.

  8. BUYER SENDS A NOMINAL AMOUNT TRANSACTION AMOUNT OF BTC ($50) TO SELLER / BTC PROVIDER. SELLER SENDS SCREENSHOT FROM HIS MAIN WALLET TO SHOW PROOF OF RECEIPT OF COIN AND OWNERSHIP ALONG WITH CONTROL OF WALLET.

  9. THEREAFTER USDT PROVIDER WILL SEND USDT TO THE BTC PROVIDER’S WALLET THE USDT BASED ON THE TRANCHE SCHEDULE SET FORTH HEREIN EXHIBIT A. AT THE DISCRETION OF THE SELLER / BTC PROVIDER, TEST TRANCHES ARE NOT DISCOUNTED.  DISCOUNT BEGINS AT 500 BTC.

  10. Please Note: Provider(s) WILL PROVIDE SCREENSHOT & TxID

  11. Once the BTC Provider confirms receipt of the USDT, the BTC Provider will immediately send Bitcoin to the USDT Provider’s wallet.

  12. Transactions will be daily per tranche schedule until all tranches are exhausted.

  • 1. Pricing is determined and agreed to between USDT’s and BTC’s Mandates

  •     b. Maximum Tranche Size: $300M worth of BTC for (insurance coverage purposes)

  • 2. Attorney(s) or Owner(s) will engage to finalize AGREEMENT, which includes:

  •     a. Discount and Commissions Pricing 6/3% [FIXED]

  •     b. Wallet Address to send BTC/USDT

  •     c. Tranche Schedule

  •     d. Confirmation of “insurance policy” to $300M USD on each transaction

  •     e. IMFPA signed by all parties.

  • 3. Once Agreement is signed, a USDT/BTC “Custodial Wallet” will be setup by Exchange

  •     a. Custodial Wallet is a safe and secure “Digital Escrow”

  •     b. Custodial Wallet is created within Fireblocks

  • 4. USDT Provider will then deposit 1st Tranche into Digital Escrow

  •     a. Tranche size can be between 1,000 BTC to 10,000 BTC-worth of USDT

  •     b. Tranche can be run every 30 minutes, as needed

  • 5. Exchange will run Analytics against Custodial Wallet/Digital Escrow

  •     a. This takes 5 minutes or less, on average

  • 6. Once USDT/BTC passes forensics test, the exchange MOVES THE USDT/BTC into the Wallet Address found within the contract.

  •  7. Once the System shows that the USDT/BTC has been fully paid for, the System will generate a passcode for the buyer/seller to use to extract the USDT/BTC as payment.

  •     a. The USDT/BTC stays in the Custodial Wallet until the USDT/BTC Provider has been fully paid in USDT/BTC.

  • 8. Total Estimated Time to complete a USDT to BTC transaction is less than 20 minutes.
