DEAL IN 4 STEPS:
1. Buyer hires Piermont Bank as escrow provider, the SPA and Escrow agreement get locked.
2. Escrow manager sends fund confirmation and guarantee to seller to transfer funds after seller acknowledges transfer of BTC.
3. After acknowledgement of BTC transfer from seller , funds get released from escrow manager
4. All intermediaries get paid as per spa agreement from escrow manager.
PROCEDURES:
Buyer and Seller shall sign this Purchase Agreement and Escrow Agreement.
Buyer shall endorse proof of financial capability. Seller shall provide proof of coins (POC) to prove availability of the Bitcoins to the Buyer.
Buyer and Seller shall forward to the Escrow Agent exact wire information and banking coordinates for each of the parties and their respective representatives.
Escrow Agent shall endorse the Escrow Agreement and shall circulate the completed Escrow Agreement to the Seller, Seller will transfer to buyer.
Upon execution of the Purchase Agreement and the Escrow Agreement, after fixing the Tranche price, Buyer shall wire to Escrow Agent the sum to be applied to the purchase of the first tranche of 250 BTC (“Escrowed Funds”).
Escrow Agent shall inform both Buyer and Seller receipt of the Escrowed Funds.
Seller shall immediately initiate placement of the first tranche of the BTC directly into the Buyer’s Wallet bearing the following wallet address: [BUYER TO PROVIDE]. Buyer’s Wallet address shall not be changed unless Buyer provides notice of the change in writing, which change is verified via a recorded video call among the undersigned President & CEO of Buyer and authorized representatives of the Seller and the Escrow Agent. Seller shall provide evidence of said deposit of BTC after receipt of confirmation of the Escrowed Funds with the Escrow Agent.
Upon the completion of six confirmations in the blockchain of such deposit (which may also be verified on https://www.blockchain.com/btc/address/[BUYER TO PROVIDE]), Buyer shall confirm receipt of the BTC in its Wallet.
Upon confirmation of receipt of the BTC by Buyer, Escrow Agent shall disburse the Escrowed Funds less payments for commissions (2% buy-side / 2% sell-side) and payments due to Escrow Agent. All payments shall be made via wire transfer or BTC. Escrow Agent shall disburse funds within 24 hours of the transaction being consummated and after both Seller and Buyer verify the same in writing.
For additional tranches steps 5 – 10 in this transaction procedure will be repeated until the total volume is settled.
