Escrow Agent shall deliver a Letter of Attestation (LOA) to the BTC Seller confirming that Buyer has funded Escrow with at least $XX,000,000.00 in $USDT. The Seller may contact the Escrow Agent to verify and authenticate the LOA.

Within Two (2) hours of BTC Seller receiving the LOA the BTC Seller shall deliver the required tranche of BTC to the designated Escrow Wallet and shall deliver the HASH and Screenshot of said delivery evidencing such.

Upon the sixth (6) blockchain confirmation of said BTC being received into the designated Escrow BTC Wallet, the Escrow Agent shall email notice to all Parties confirming that the Escrow has been funded with the BTC from the Seller.

The Buyer shall have up to one (1) hour to perform its forensics and review and approve the BTC. Upon Buyer’s approval of the BTC tranche, or if the Buyer fails to send notice of rejection, within 1 hour of the receipt by the Escrow Agent and said receipt of the BTC by the Escrow Agent is confirmed by irrefutable evidence of successful delivery via the hash records listed on Blockchain, the BTC shall be deemed accepted and approved by the Buyer.

Should USDT Buyer reject the BTC as invalid or fraudulent or reject the tranche Wallet as failing the conditions set forth herein, the Buyer shall send notice of such rejection to the Parties and the Escrow Agent within the hour. Upon such rejection, the Escrow Agent shall return the rejected BTC to the BTC Seller accordingly and the BTC Seller will deliver alternative BTC for forensics approval. If the alternative BTC is rejected, the transaction shall be considered terminated.

Upon Buyer’s approval, the Escrow Agent shall initiate the release and disbursement of the Buyer’s escrowed purchase funds to the Seller, less the applicable discounts payable to the Consultants and the net discount to the Buyer, to complete the purchase of said BTC. The Escrow Agent shall promptly initiate the release and disbursement of the Seller’s escrowed BTC to the Buyer/USDT and to the Consultants. The Escrow Agent shall release and disburse consulting fees as follows: (a) 1% to Sell-Side consultants and (b) 1% to Buy-Side consultants as more fully described in the relevant IMFPA or fee agreement. The payment for the Consultants as referenced in the IMFPA under Transaction Code : XXXX

Seller Escrow confirms the receipt of USDT and a proof of deposit is shared to the Seller. Seller transfers the BTC equivalent to the Sellers Nominated Escrow BTC wallet. Seller Escrow confirms the receipt of the BTC to the Buyer and proof of the same.

Seller makes available to the Buyer the Seller Nominated wallet for the Buyer to conduct forensics and validation on the Sellers 2000 BTC wallet. Such wallet shall have no more than 50 transactions. .

If Buyer accepts the Seller BTC following the forensics test, then he notifies Seller Escrow to proceed with the transaction. If Buyer declines the BTC of the Seller then Buyer notifies Seller Escrow and his USDT is returned.

Seller Escrow moves BTC to Buyer’s nominated BTC wallet AND, moves USDT to to Seller’s nominated USDT wallet. Upon successful completion of the swapping of BTC with USDT, Seller Escrow provides a confirmation to both the Buyer and the Seller.

Steps outlined in 3 – 5 is repeated until all the above Tranches are complete. Seller grants the Buyer an option to purchase an additional 500,000 BTC. Such option must be exercised not more than 3 business days following the successful completion of the agreement in writing to Escrow and to the Seller. This can proceed further with Rolls and Extensions if desired by the Buyer and the Seller.

Seller sends the commissions to 1 wallet on each side – i.e., Buyers side and Seller side.

Escrow Attorney fees shall be paid by the respective parties (i.e. the Buyer and The Seller) as per the Escrow Agreement.

Non-performing Party will be liable for a 5% Penalty, payable to the Facilitator’s Commissions.
